Commercial and Contracts.
Every contract your company signs is an obligation it takes on and a right it will be able to enforce. We draft, negotiate and review those contracts before signing. Not afterwards, when the other side has already set the text in its favor and you have a problem.
What we do in this area
We draft the contracts that hold the business together: services, distribution, supply, licensing, confidentiality, agency and agreements between companies. Each one with its terms, grounds for termination, penalties and payment structure clearly defined, so that if the relationship turns difficult you know exactly where you stand. When your company signs the same type of contract many times over, we leave you a template of your own that your team can use without consulting us on every deal.
When the other side brings its own contract, we review it and tell you what to sign, what to negotiate and what not to accept. We take part in negotiations directly, whether at the table or preparing your position, on a simple principle: the best contract is the one nobody argues about later.
Before a significant transaction — an alliance, an acquisition, a long-term contract — we run the due diligence so you know who you are signing with and what liabilities come with the package. And when the deal crosses borders, we work in Spanish and English with foreign counterparties.
Let’s review the contract before you sign.
