Corporate and Company Law.
A company’s structure defines who decides, by what majorities, and what happens when a shareholder wants out. We incorporate companies, draft shareholders’ agreements and handle the corporate decisions that come up through the year. It is the work that rarely feels urgent — until the first disagreement appears.
What we do in this area
We incorporate the company and define its structure: who the shareholders are, how ownership is divided, what majorities each decision requires and how it is managed. When the company already exists and was put together quickly, we review whether that structure still fits the size the business has today.
We draft and negotiate the shareholders’ agreement, which is where you put in writing what nobody wants to discuss while things are going well: what happens if a shareholder wants to sell, if a new one comes in, if someone stops working in the business, or if two positions reach deadlock. We also handle capital increases, reorganizations and the tidying up of groups that grew into several unconnected companies.
When the purchase or sale of a company comes up, we run the due diligence, negotiate the agreement and close out the representations, warranties and closing conditions. And throughout the year we handle shareholder meetings, minutes and the share registry, so the company is in order the day someone looks at it.
Structure is settled beforehand, not afterwards.
